Overview

The ISO Exercise Sell-to-Cover Calculator estimates the minimum whole number of shares to sell immediately after exercising all entered incentive stock options (ISOs). It uses the expected sale proceeds to fund the exercise cost and the model's estimated income-tax effect.

This is a simplified current-law planning model for an immediate, arm's-length partial sale. It does not determine the tax treatment, availability, or advisability of an actual option transaction.

Scope and Use

Use this calculator to discuss a single same-year exercise and immediate partial-sale scenario: all entered options are exercised, some shares are sold immediately, and the remaining shares are retained. The model treats the immediate sale as a disqualifying disposition for its income characterization.

Methodology

Exercise cost and bargain element
C=N×K;B=N×max(FK,0)

C is the all-options exercise cost, N is the option count, K is strike price, F is exercise-date FMV, and B is the displayed bargain element.

Per-share modeled income and tax
O=min(max(FK,0),max(SK,0));G=SKO

S is expected sale price. The model applies the entered combined federal and state rate only to O plus any positive G; it gives no modeled tax benefit for a capital loss.

Minimum whole shares
Q=min(N,ceil(C/(ST)))

T is estimated tax per sold share. The whole-share ceiling is applied before the final cash-flow outputs are calculated. Returned money values are rounded to cents; the calculator displays currency outputs as whole dollars.

Assumptions and Limitations

Model assumptions

  • All entered options are exercised in one transaction.
  • The shares sold to cover are sold immediately in the same tax year.
  • The immediate sale is arm's-length and treated as a disqualifying disposition under this model.
  • Entered federal and state marginal rates apply additively to modeled ordinary income and positive capital gain.

Important limitations

  • Actual income and AMT effects depend on the complete return and transaction facts.
  • Retained shares and the bargain element can have potential AMT relevance if held through year-end; this calculator does not calculate AMT liability.
  • Expected sale price may differ from actual execution price and available proceeds.
